1. Definitions
1.1 UrWeb refers to a branding agency located at 9100 Sint-Niklaas, Houten Schoen 96C002, Belgium, registered under company number BE0805971515.
1.2 “Client” refers to an individual or entity that uses the services of UrWeb.
2. Services and Procedure
2.1 UrWeb provides branding services, including web design, branding, content creation, social media management, and graphics.
2.2 Clients can contact us via the contact form on our website, email at info@urweb.be. We will conduct a consultation to understand the client’s needs, prepare a quote based on those needs, carry out the agreed services, and issue an invoice upon completion.
3. Rates and Payment Terms
3.1 Rates for our services are determined in consultation with the client and stated in the quotation.
3.2 Payment Terms
3.2.1 Payment Term
The client agrees to pay the due amounts within 30 calendar days from receipt of the invoice, unless otherwise agreed in writing.
For B2C transactions, this term complies with the statutory payment terms under Belgian law.
3.2.2 Deposit
Before starting the services, UrWeb may require a deposit. This deposit will be deducted from the total amount of the final invoice. In case of cancellation before the services begin, UrWeb reserves the right to retain this deposit, in whole or in part, to cover incurred costs.
3.2.3 Invoicing and Payment
Invoices are issued based on the agreed services and rates and sent via email (or post) to the address provided by the client. Payments must be made by bank transfer to the account stated on the invoice.
3.2.4 Late Payments
In case of non-payment on the due date, a default interest of 10% per annum on the outstanding amount will be due automatically and without notice, calculated from the due date. Additionally, a flat-rate compensation of 10% of the invoice amount, with a minimum of 40 euros per invoice, is due.
This compensation also applies in reverse, in the event of contractual default by UrWeb.
Any collection costs may also be charged in accordance with legal provisions.
3.2.5 Retention of Ownership
All delivered goods, services, and related intellectual property rights remain the property of UrWeb until full payment is received.
3.2.6 Disputes
Any dispute or complaint regarding an invoice or delivered service must be submitted in writing and with justification within eight (8) calendar days of receiving the invoice, preferably by registered mail. If no dispute is submitted within this period, the invoice is considered accepted.
Parties agree to work in good faith to resolve any disputes.
4. Delivery of Services and Products
4.1 Our services include the design and development of websites, logos, branding books, and digital content, depending on the agreement with the client.
5. Responsibilities and Obligations
5.1 UrWeb undertakes to perform the agreed services with care and professionalism.
5.2 The client agrees to provide all necessary information and materials in a timely and accurate manner for the execution of the services.
6. Intellectual Property
6.1 All intellectual property rights to the delivered services and products, including websites, logos, and branding materials, remain the property of UrWeb, unless otherwise agreed in writing.
7. Limitation of Liability
7.1 UrWeb is not liable for direct, indirect, incidental, or consequential damages resulting from the use of our services.
8. Applicable Law and Disputes
8.1 These terms and conditions are governed by Belgian law.
8.2 Disputes arising from or related to these terms shall be submitted to the competent courts of Dendermonde.
9. Changes to the Terms and Conditions
9.1 UrWeb reserves the right to update these terms and conditions at any time. Changes will be posted on our website and the date of the latest revision will be indicated at the top.
10. Automatic Renewal of Annual Contracts
Unless otherwise agreed in writing, this contract is automatically renewed for an initial period of one year after the end of the original contract term. The renewal period begins on the day following the expiration of the original term. After each renewal period, the contract will automatically be renewed for successive periods of one year, unless terminated in writing by either party.
10.2 Notice of Non-Renewal: If either party wishes not to renew and terminate the contract, it must notify the other party in writing at least 30 days before the end of the original term.
10.3 Billing for the Renewal Period: UrWeb will issue an invoice for the renewal period, usually sent about 30 days before the start of the renewal period.
10.4 Adjustment of Rates and Conditions: Upon renewal, UrWeb may adjust the rates, terms, and conditions. The client will be informed in writing of any changes before the renewal period begins.
10.5 Termination During the Renewal Period: During the renewal period, the contract may only be terminated by written notice with a notice period of 30 days before the end of the renewal period.
10.6 Payment: The client agrees that UrWeb will issue an invoice for the renewal period, which will not be collected automatically.
10.7 Confirmation of Renewal: UrWeb will inform the client of the contract renewal before the renewal period begins.
11. Duration of Monthly Subscriptions
11.1 Initial Subscription Term: The client agrees to an initial subscription term of at least one (1) year, starting from the date of the first payment.
11.2 Automatic Renewal: After the initial subscription term, the subscription will be automatically renewed for successive monthly periods, unless terminated in writing by the client.
11.3 Termination: The client may terminate the subscription at any time after the initial term by providing written notice to UrWeb. Termination becomes effective at the end of the current monthly period.
11.4 First Payment: The client agrees to an initial payment covering the first two (2) months of the subscription at the start of the agreement. This payment covers the first and second month of the subscription.
